These Terms of Service ("Terms") govern your use of the MetaMinds Materials website at metamindsmaterials.org and any purchase of products or services from MetaMinds Advisors LLC, doing business as MetaMinds Materials ("Company," "we," "us," or "our"). By accessing our Site or placing an order, you agree to be bound by these Terms.

All product prices are provided as estimates or ranges and are subject to change. Binding pricing is provided in a formal written quote. An order is not confirmed until you receive a written order confirmation from MetaMinds Materials. We reserve the right to decline any order at our discretion.
All prices are in U.S. dollars and do not include applicable sales tax, delivery charges, or import duties unless explicitly stated. Sales tax will be applied based on the delivery address in accordance with applicable state law. You are responsible for any applicable import duties, tariffs, or customs fees for international shipments.
Orders may be cancelled without penalty within 48 hours of placement. After 48 hours, the following cancellation fees apply:

You must inspect all materials upon delivery. Any visible damage or discrepancy must be noted on the delivery receipt and reported to us in writing within 5 business days of delivery. Concealed defects must be reported within 30 days. We will replace or credit defective materials at our discretion. Claims submitted after these windows may not be honored.

We are not liable for delays caused by carriers, customs processing, weather, force majeure, or other circumstances beyond our control.
A responsible adult must be present to receive and inspect delivery. If delivery cannot be completed due to inaccessibility or absence, re-delivery fees may apply. Curbside delivery is standard; inside delivery is available at additional cost.
Risk of loss and title to goods passes to the buyer upon delivery to the carrier or, for white-glove delivery, upon placement at the delivery address. We strongly recommend purchasing transit insurance for high-value shipments.
Many products we supply carry manufacturer warranties. We will pass through any applicable manufacturer warranty to you. Terms, duration, and coverage vary by product and manufacturer.
MetaMinds Materials warrants that products we supply will conform to the specifications stated in your written order confirmation. This warranty does not cover:
We warrant that design services will be performed in a professional and workmanlike manner. We do not warrant specific aesthetic outcomes, as design is inherently subjective. Our liability for design services is limited to the fees paid for those services.
EXCEPT AS EXPRESSLY STATED ABOVE, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METAMINDS ADVISORS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, COST OF SUBSTITUTE MATERIALS, OR DAMAGE TO PROPERTY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless MetaMinds Advisors LLC, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of materials purchased from us, or your infringement of any third-party rights.
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Louisville, Kentucky. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of the Site or placement of orders after changes are posted constitutes acceptance of the revised Terms. For active orders, the Terms in effect at the time of order confirmation govern that transaction.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
